Terms Of Use

This Service Agreement ("Agreement") is by and between Reconnect.org.ph and You, Your agents, successors and assigns ("You").

Before you may become a member of Reconnect.org.ph, you must read and accept all of the terms and conditions in, and linked to this Agreement and the Privacy Policy. You acknowledge that by using the services (the “Services”) on the Reconnect.org.ph website (www.reconnect.org.ph or the “Website”), you have read and understand all the terms and conditions of this Agreement, and agree to such terms and conditions, along with other terms, conditions and policies which exist now or in the future as may be published by Reconnect.org.ph at the Website.

You acknowledge that Reconnect.org.ph's acceptance of Your application for any Services will take place at the MRM Worldwide located at Makati City, Philippines.

  • Using the Website

    While using the Website, You will not:

    • Post inappropriate content;
    • Violate any laws, third party rights, or our policies;
    • Use the Services if you are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from the Website;
    • Post false, inaccurate, misleading, defamatory, or libelous content (including personal information);
    • Distribute viruses or any other technologies that may harm Reconnect.org.ph, or the interests of users of the Website;
    • Distribute or post spam or chain letters;
    • Harvest or otherwise collect information about users, including e-mail addresses, without their consent.

  • Abusing the Website

    Please report problems, offensive content, and policy violations to us.

    Without limiting other remedies, we may limit, suspend, or terminate our Services and user accounts, prohibit access to our Website, delay or remove hosted content, and take technical and legal steps to keep users off the Website if we think that they are creating problems, possible legal liabilities, or acting inconsistently with our policies.

  • Fees

    Reconnect.org.ph charges fees for using certain Services. When you use a Service that has a fee, You may review and accept the fees that You will be charged based on our Fees schedule, which may be changed from time to time. All Fees are quoted in Philippine Pesos. Payments shall be made online through the AsiaPay payment processing system by providing the details of a valid credit card (“Your Payment Method”).

    For donee-institutions, the fees are P 1,000 per year or P 5,000 per year. Sixty (60) days prior to the anniversary date of registration with Reconnect.org.ph, a registered donee-institution shall receive a notice of ending subscription. This notice shall be sent via e-mail to the donee-institution account’s nominated e-mail address. This notice shall be e-mailed again to the registered donee-institution thirty (30) days, fifteen (15) days, five (5) days before, and on its anniversary date of registration with Reconnect.org.ph. Non-renewal of registration within the period and according to the procedure specified in the notice shall automatically result in disconnection of all Services.

    Reconnect.org.ph reserves the right to charge a reasonable service fee for administrative tasks outside the scope of its regular services. These include, but are not limited to, managing customer service issues that cannot be handled via e-mail but require personal service, and disputes that require legal services. These additional fees shall be charged to Your account.

    If for any reason Your Payment Method fails and Reconnect.org.ph is unable to collect the full amount owed to it, or if Reconnect.org.ph is charged a penalty for any fee it previously charged to Your account, You agree that Reconnect.org.ph may pursue all available remedies in order to obtain payment for said fee. You agree that such remedies shall include, but not be limited to, immediate cancellation without notice to You of any of the Services.

    All fees and charges paid pursuant to this Agreement are non-refundable, except as otherwise provided herein.

  • Term; modifications

    This Agreement shall be effective upon Your acceptance. For donee institutions, this Agreement shall continue in full force and effect for the duration of the terms of Your registration with Reconnect.org.ph You may cancel your registration with Reconnect.org.ph within seven (7) days from the date of registration. If You cancel within seven (7) days from registration, You are entitled to a full refund of Your registration fee. If You cancel beyond the 7-day period, You shall not be entitled to any refund of any fees You may have paid to Reconnect.org.ph.

    You agree that Reconnect.org.ph may modify this Agreement from time to time, in order to comply with applicable law and the terms and conditions set forth by the MRM Worldwide, as well as any registration rules or policies that may be published from time to time by Reconnect.org.ph. Reconnect.org.ph may also discontinue the Services it provides under this Agreement, where circumstances warrant. You agree to be bound by any changes Reconnect.org.ph may reasonably make to this Agreement when such changes become effective.

  • User Information

    You agree to maintain, update, and keep information You submitted to Reconnect.org.ph (“User Information”) true, current, complete, accurate, and reliable by notifying Reconnect.org.ph within five (5) business days of a change to any such information. Your failure, for whatever reason, to provide Reconnect.org.ph with accurate and reliable information on an initial and/or continuing basis, shall be considered to be a material breach of this Agreement. In addition, Your failure, for whatever reason, to respond within five (5) business days to any inquiries made by Reconnect to determine the validity of Your User Information shall also be considered to be a material breach of this Agreement.

    It shall be Your responsibility to retain a copy of the receipt for purchase of any Service from Reconnect.org.ph.

    Reconnect.org.ph does not sell, rent, donate, or give away Your personal information to any third party. We use Your personal information only as described in our Privacy Policy. For a complete description of how Reconnect.org.ph uses and protects your personal information, please see our Privacy Policy. You agree that for each Service You purchase, the following contact data is required: postal address, email address, telephone number, and if available, a facsimile number for the registered name holder. In addition, the following information will be made publicly available in the Reconnect.org.ph directory:

    • Organization Name
    • Organization Postal address
    • Organization Postal address, voice and fax numbers
    • Organization Web URL

    You agree that Reconnect.org.ph may make use of the publicly available information You provided during the registration process, to the extent allowed by Reconnect Privacy Policy. If You object to Your personal information being transferred in the manner mentioned above, please do not use our Services.

  • Agents

    You agree that if this Agreement is completed by an agent for You and/or any of the Services are used by any party using Your account, You are nonetheless bound as a principal by all the terms and conditions herein, including other terms, conditions and policies which exist now or in the future as may be published by Reconnect.org.ph at the Website. Any party who submits the correct access key(s) for Your account and uses the Services on the Website shall be deemed to have apparent authority to bind You hereunder, unless unauthorized access to Your account is due solely to the fault or gross negligence of Reconnect.org.ph. You are responsible for all information submitted by Your agent.

  • Suspension of services; breach of agreement

    You agree that, in addition to other events set forth in this Agreement, (i) Your ability to use any of the Services is subject to cancellation or suspension in the event there is an unresolved breach of this Agreement and/or suspension or cancellation is required by any policy now in effect, and (ii) Your registration of any domain names shall be subject to suspension, cancellation, or any Reconnect.org.ph procedure not inconsistent with adopted specification or policy, (1) to correct mistakes by Reconnect.org.ph or the registry operator in registering any Service or (2) for the resolution of disputes concerning any Service.

    You agree that Your failure to comply completely with the terms and conditions of this Agreement and any Reconnect.org.ph rule or policy may be considered by Reconnect.org.ph to be a material breach of this Agreement. Reconnect.org.ph shall provide You with notice of such breach either in writing or electronically (i.e., by email). In the event You do not provide Reconnect.org.ph with material evidence that You have not breached Your obligations to Reconnect.org.ph within ten (10) business days from receipt of such notice, Reconnect.org.ph may terminate its relationship with You and take any remedial action available to Reconnect.org.ph under the applicable laws. Such remedial action may be implemented without notice to You and may include, but shall not be limited to, canceling Your registration and discontinuing any Services provided by Reconnect.org.ph to You. No fees will be refunded to You should Your registration be cancelled or Services be discontinued because of such breach.

    Reconnect.org.ph's failure to immediately act upon or notify You of any event, which may constitute a breach, shall not constitute a waiver or relinquishment of the right to enforce the provisions of this Agreement in the future, and such right shall continue and remain in full force and effect.

  • Limitation of liability

    You agree that Reconnect.org.ph's entire liability to you under this Agreement, and your only remedy, in connection with any Service, and for any breach of this Agreement by Reconnect.org.ph, shall be limited to the fees you paid to Reconnect.org.ph for the particular Service in dispute. Reconnect.org.ph, its employees, officers, agents and contractors shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use of or inability to use any of the Services or for the cost of obtaining substitute services. Because certain states do not permit the limitation of elimination of liability for certain types of damage, Reconnect.org.ph's liability shall be limited to the smallest amount permitted by law. Reconnect.org.ph disclaims any loss or liability resulting from:

    • access delays or interruptions to our Website or service registration system;
    • data non-delivery or mis-delivery between You and Reconnect.org.ph;
    • force majeure or events beyond our control;
    • the loss of registration or processing of a Service or the use of our Service;
    • the failure for whatever reason to renew a Service registration;
    • the unauthorized use of Your account with Reconnect.org.ph or any of Services provided to You by Reconnect.org.ph, unless due solely to our fault or gross negligence;
    • errors, omissions or misstatements in the Website, unless due solely to our fault or gross negligence;
    • deletion of, failure to store, or failure to process or act upon email messages;
    • processing of updated information to Your User Information;
    • development or interruption of Your website;
    • errors with regard to the processing of Your application; and
    • any act or omission caused by You or Your agent (whether authorized by You or not).

    You agree not to hold Reconnect.org.ph responsible for other users’ actions or inactions, including things they post in the Website. You further agree that Reconnect.org.ph shall not be bound by any representations made by third parties upon which You relied to purchase the Services.

    You acknowledge that Reconnect.org.ph simply provides a venue to connect non-profit organizations and potential donors. Reconnect.org.ph is not involved in the actual donations between the donors and the non-profit organizations and has no control over and do not guarantee the legitimacy of the non-profit organization or its operations.

  • Indemnity

    You agree to release, defend, indemnify and hold harmless Reconnect.org.ph and its contractors, agents, employees, officers, directors, shareholders and affiliates from and against any losses, damages or costs, including reasonable attorney's fees, resulting from any claim, action, proceeding suit or demand arising out of or related to Your (including Your agents, affiliates or third parties with apparent authority) use of the Services. Should Reconnect.org.ph be notified of a pending lawsuit, or receive notice of the filing of a lawsuit, Reconnect.org.ph may seek a written confirmation from You concerning Your obligation to indemnify Reconnect.org.ph. Your failure to provide such a confirmation may be considered a breach of this Agreement, but shall not relieve You of Your obligation hereunder.

  • Representation and warranties

    You warrant that all information provided by You as part of the registration process is true, current, complete, accurate, and reliable. You also warrant that each registration You make is done in good faith and that You have no knowledge of it infringing upon or conflicting with the legal rights of a third party or a third party's registration, trademark or trade name. You also warrant that the Service being registered will not be used in connection with any illegal activity.

    You agree that Reconnect.org.ph makes no representations or warranties or any kind in connection with this Agreement and specifically makes no guaranty to You against the possibility of objection to, or challenge of, the registration or use of any Service You register with Reconnect.org.ph.

    Reconnect.org.ph expressly reserves the right to deny or cancel any registration that it deems, in its discretion, necessary to protect the integrity and stability of the registry, to comply with any applicable laws, government rules or requirements, requests of law enforcement, in compliance with any dispute resolution process, or to avoid any liability, civil or criminal, on the part of Reconnect.org.ph, as well as its affiliates, subsidiaries, officers, directors and employees. Reconnect.org.ph also reserves the right to suspend a Service during resolution of a dispute.

  • Disclaimer of warranties

    Reconnect.org.ph expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Reconnect.org.ph makes no warranty that its Service(s) will meet your requirements, or that the Service(s) will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Reconnect.org.ph does not warrant, nor make any representations regarding the use, or results of, any of the Services it provides, in terms of their correctness, accuracy, reliability, or otherwise.

  • Severability; entirety

    You agree that the terms of this Agreement are severable. If any part of this Agreement is determined to be unenforceable or invalid, that part of the Agreement will be interpreted in accordance with applicable law as closely as possible, in line with the original intention of both parties to the Agreement. The remaining terms and conditions of the Agreement will remain in full force and effect.

    You agree that this Agreement including the policies it refers to (i.e., our Privacy Policy, etc.) constitute the complete and only agreement between You and Reconnect regarding the services contemplated herein.

  • Notices

    You agree that all notices (except for notices concerning breach of this Agreement) from Reconnect.org.ph to You may be posted on our Website and shall be deemed delivered within thirty (30) days after posting. Notices concerning breach shall be sent either to the email address You have on file with Reconnect.org.ph. or mailed first class postage to the postal address You have on file with Reconnect.org.ph. In both cases, delivery shall be deemed to have been made ten (10) days after the date sent.
